Appendices - Commission Schedule

The text below represent an understanding between the Pamper Me Network, Inc, an Ontario Corporation operating as the Pamper Me Network ( the “Corporation” or “PMN” )

AND:

a Content Creator, YOU, (hereinafter referred to as “CREATOR”), who agrees to enter into an agreement with the CORPORATION to convert photo, audio and video content into NFTs and, or act as an affiliate, sales agent to promote and, or license products and technology developed by the CORPORATION;

WHEREAS it is understood that CREATOR has affixed his signature to a version of this agreement that was emailed, faxed or mailed to the CORPORATION.

WHEREAS it is understood that CREATOR accepts the terms of this agreement by paying any negotiated licensing fees, and, or accept commissions payments from the CORPORATION;

WHEREAS it is understood that this agreement defines the terms by which the CORPORATION will compensate CREATOR for the marketing and promotional services offered to the CORPORATION.

APPENDIX I – COMMISSION PAYMENT SCHEDULE:

SOCIAL REWARDS LICENSING & STANDARD AFFILIATE REVENUE SHARE:

1.0 It is understood that the CORPORATION offers the CREATOR revenue share on standard Digital Billboard Network advertising packages according to the following schedule:

1.0.1 It is understood that the CORPORATION reserves the right to increase the retail cost of Digital Billboard Network advertising packages and will increase commission payouts to the CREATOR proportionately.

1.0.2 It is understood that the CREATOR will earn net commissionable earnings on Digital Billboard Network advertising sales directly assigned to its MATRIX Social Rewards id according to the following schedule:

1.0.3 It is understood that the CREATOR will earn tier commissions of 10%-12.5% on commissions paid out to affiliates in its network according to Appendix IV.

1.0.4 It is understood that the CORPORATION reserves the right to charge set-up fees for which no sales commissions will be awarded to CREATOR. For example, fees to activate pre-paid reloadable visa cards.

1.0.5 It is understood that the CORPORATION will waive the Sales quota for CREATOR and disburse a 30% revenue share.

APPENDIX II – SOCIAL REWARDS SOFTWARE LICENSE:

1.0 It is understood that the CORPORATION offers the CREATOR revenue share on standard, automated membership packages for individuals, experts and influencers that wish to leverage, the MATRIX social rewards software platform to make money building their fan network and sharing content according to the following schedule:

1.0.1 It is understood the CORPORATION reserves the right to increase the retail cost of Social Rewards 2.0 software licensing packages and will increase commission payouts to the CREATOR proportionately.
1.0.2 It is understood that the CREATORwill earn tier commissions of 10%-12.5% on commissions paid out to affiliates in its network according to Appendix IV.

APPENDIX III – BONUSES ON ADDITIONAL PRODUCTS:

1.0.1 It is understood that the CORPORATION markets additional products either developed internally or sourced from third-party vendors, for which CREATOR will share revenues.
1.0.2 It is understood that the CORPORATION will upgrade advertisers and social rewards 2.0 licensees to said products for which the CORPORATION will share revenues with the CREATOR according to the following schedule:

 1.0.3 It is understood that the CORPORATION reserves the right to increase the retail cost of Internally Developed products, Third-party products, payment processing fees, crowd funding fees and fees charged to CPA partners and will increase commission payouts to the CREATOR proportionately, but not necessarily the commission percentage.
1.0.4 It is understood that the CREATOR will earn direct commissions of 10% on the sales of Internally Developed products, Third-party products, payment processing fees, crowd funding fees and fees charged to CPA partners for customers directly assigned to its MATRIX Social Rewards id.
1.0.5 It is understood that the CREATOR will earn tier commissions of 10%-12.5% on commissions paid out to affiliates in its network according to Appendix IV.

APPENDIX IV – STANDARD AFFILIATE REVENUE SHARE:

1.0 It is understood that the CORPORATION will pay CREATOR a tier or residual commission or royalty when any user joins the Pamper Me Network through a social rewards id or affiliate tracking code assigned to CREATOR and purchase any product or services according to the following schedule:

APPENDIX V – CAMPAIGN TRACKING & REPORTING:

1.0 It is understood that the CORPORATION will install technology, namely the MATRIX social rewards software platform and licensed components that allow CREATOR to facilitate and, or track the following:

• Distributors, influencers, experts, contestants, fans, affiliates, resellers, end users and related users that join the PROJECT website;
• Assign a MATRIX Social Rewards ID to each user that registers on the PROJECT website;
• Enable all users on the PROJECT website to invite friends to join the PROJECT website;
• Assign credit for invite resulting in registration to the PROJECT user that invited user;
• Monitor referral, content sharing and e-commerce activities that correspondence to each user;
  Credit user for upgrades and, or purchases.

APPENDIX VI – UNASSIGNED AFFILIATES:

1.0.1 It is understood that the CORPORATION reserves the right to add unassigned affiliates, advertisers, crowd funders, software licensees, consulting clients and related paying customers to the personal fan network of CREATOR.
1.0.2 It is understood that for unassigned affiliates CREATOR will earn standard commissions of 10% - 12.5% of direct and tiered net commissionable earnings as outlined in Appendix IV.
1.0.3 It is understood that this includes any affiliates or sales leads directly financed and, or generated by the CORPORATION at tradeshows, seminars, conferences, from media buys or related business development ventures.

APPENDIX VII – AUTHENTICATED SOCIAL REWARDS ACCOUNTS – TERMS OF USE:

1.0 It is understood that social rewards payments of $1 are cash credits assigned to the accounts of websites powered by the MATRIX social rewards platform and may be redeemed for an equivalent cash component if, and only if, the following apply:

• Users generate $100 in total earnings;
• All user accounts referred are verified to be real and free from fraud;
• The owner (also referred to as parent) of user accounts referred login at least once (for parent to fully qualify for cash, social rewards);
• At least one user parent refer every 100 users referred upgrades his/her PMN account to two Social Rewards VIP Accounts ($99.99 per year) or two Social Rewards Silver Accounts ($199.99 per year);
• Parent keeps his/her Social Rewards VIP license of $99.99 per year or Social Rewards Silver License in good standing, free from fraudulent activities;
• Parent understands that if user accounts he directly refer (tier I) and, or create are consistently fraudulent or automated using robots, the CORPORATION reserves the right to deny payment and, or disable social rewards account;
• Parent understands that his VIP, Silver or Gold Social Rewards License is valid for a period of one year, and must be renewed at that time to remain in good standing.

2.0 It understood that the CORPORATION reserves the right to delete any account that is suspected of fraudulent activity and, or is not authenticated with a photo, valid payment email address, phone number or submit a business listing, press release or related content within 30 days.

APPENDIX VIII – BUILDING A SOCIAL REWARDS FAN NETWORK:

1.0 It is understood that the CORPORATION will create a trust social rewards account for CREATOR and add it to the personal network of CREATOR and General Ramos, a main character in the Rule The World NFT Novel campaign.
2.0 It is understood that the CORPORATION will begin to help CREATOR to build his social rewards fan network immediately upon the signing of this agreement if CREATOR activates at least three custom NFT design projects.

APPENDIX IX – BUILDING A SOCIAL REWARDS FAN NETWORK:
